Affiliate Terms

The Coda affiliate program is a contract for an independent marketing service — not employment, not an agency relationship in the legal sense. You promote Coda through channels of your own choosing and earn a commission on purchases you bring in.

You are under no obligation to promote anything. There are no targets, no quotas and no working hours. You bear the cost of your own promotion and carry the risk that comes with it — for instance a platform sanctioning your account.

You must be an adult. Taking part requires that you are at least 18 years old, or of legal age where you live if that is higher. This agreement pays you money, and Coda issues tax documents in your name; both need somebody who can enter into them on their own account. If it turns out you were not of age when you joined, we end the agreement.

For every purchase successfully referred through your affiliate link or discount code you earn the commission percentage currently stored for you in the Coda system, calculated on net revenue. The rate in force at the moment of purchase is written onto that sale and does not change afterwards, even if the standard rate later moves.

Net revenue means the amount Coda actually receives: the purchase price less any discount and less the payment processor's fee. Sales tax and VAT are collected and remitted by our merchant of record and never reach us, so they are not part of the base.

One sale, one affiliate. Never two. If a customer arrives through your link (cookie) and also enters someone else's discount code at checkout, the code wins — it is the more deliberate and more recent action by the customer. Where link and code belong to the same affiliate, the commission is credited once.

Lifetime attribution. Once a customer has been referred by you, you are also credited for any further separate purchase by that same customer — an upgrade from monthly to lifetime, or a repeat purchase. Identity is established by customer ID or email address. This does not apply to automatic monthly renewals, which generate no commission. If a later purchase carries another affiliate's code or cookie, that explicit signal wins and the customer has deliberately routed the commission elsewhere.

Link tracking relies on a cookie, and a cookie requires the visitor's consent under EU law. If a visitor declines, the sale cannot be attributed through the link — only through a discount code, if one was entered. In EU markets your discount code is therefore the more reliable path.

Refunds, chargebacks, and purchases shown to be self-referrals generate no commission. Where commission has already been paid on a sale that is later refunded, we may offset it against your next payout.

Your balance is kept in euro. Each commission is converted to euro on the date of the sale it belongs to, using the European Central Bank reference rate published for that date, and that figure does not change afterwards. What you were owed on a Tuesday is still the same number on the Friday.

If you are paid in a currency other than euro, that conversion happens separately, on the day the payment is actually made, at the rate our payment provider applies to the transfer. Your credit note always states the euro amount; the transfer record states the rate and the amount you received.

You agree that Coda issues the settlement document for your commission in the form of a credit note (Gutschrift) under § 14(2) of the German VAT Act. You do not send us an invoice — the credit note we issue in your name is the legal equivalent.

This is standard practice for affiliate programs, and it exists for your benefit as much as ours: it means you can be paid without having to produce a document that satisfies German invoicing requirements.

Each credit note is emailed to you and is also available at any time in your affiliate dashboard. Please check it promptly and tell us of any objection within 14 days. If you object to a credit note it ceases to have effect as a settlement document, and we will agree a corrected one or another form of settlement with you.

If you would rather invoice us yourself, tell us and we will switch your account over. Your payouts are unaffected either way.

You are solely responsible for declaring and paying tax on your commission income where you live. Coda withholds no tax and issues no withholding certificates. Your commission is paid gross.

If you are outside the EU — the United States, the United Kingdom, or anywhere else — you do not need a VAT or tax number for this, and none is requested. Coda accounts for any German VAT arising on your service on its own side. No tax is withheld from your commission.

If you are in the EU and VAT-registered, your credit note is issued under the reverse-charge procedure: no VAT is shown and it is accounted for in Germany. Please enter your VAT number in your profile. If you take part in the EU-wide small business scheme, enter that number instead — it is the number containing "EX".

If you are in Germany and a Kleinunternehmer under § 19 UStG, mark this in your profile and your credit note will show no VAT accordingly.

We ask whether you act as a business because it decides the wording on your credit note. It does not change what you are paid.

What you confirm. Because Coda issues your credit note on your behalf, the tax details you enter are the only source for what that document says about you. We have no way to verify them, and we do not try to. When you save them you confirm they are correct and complete, and you agree to update them without undue delay if your situation changes — for example if you register a business, or a VAT registration of yours starts or ends.

If they turn out to be wrong. Where Coda incurs tax, interest or a penalty because information you gave was incorrect, and you knew or ought to have known that it was, you will reimburse Coda that amount. This does not apply where Coda caused or contributed to the error, and it covers the direct cost and nothing beyond it.

Either way your own tax position stays yours: nothing here makes Coda answerable for it, and nothing here makes you answerable for Coda’s.

Payouts run on a monthly cycle. Every commission accrued and not yet paid is included automatically — there is nothing to request and no button to press.

A cycle pays out where your balance has reached €25.00. Below that, your balance simply carries over to the next cycle. Nothing expires and nothing is forfeited; a small balance waits, it does not disappear.

A cycle covers commission earned up to the end of the previous month and is paid out early in the following month, usually within the first week. We are paid by our own payment processor on a delay and wait for that payment before sending yours, so the exact day moves a little from month to month. Bank transfer times then apply on top, and they vary by country.

Where a commission is reversed after it was paid to you — a refund or a chargeback on the underlying purchase — the amount is deducted from your next payout rather than invoiced back to you.

You enter your own payout details in your profile and are responsible for their accuracy. Bank charges and return fees caused by incorrect details are yours to bear. We cannot pay you until your profile carries a legal name, an address and a payout method.

Costs of the payout method you choose. We pay the cost of sending your payout. What your chosen provider charges on the receiving side, and the exchange rate it applies if it converts, are that provider's terms and not ours: they are outside our control and are not reimbursed. PayPal in particular takes its fee from the recipient and converts at its own rate, so the amount reaching you can be lower than the figure on your credit note. SEPA inside the euro area does not do this, and neither does Wise. The credit note always states the full commission you have earned; it is not reduced by what a provider deducts on your side.

You agree to make no misleading claims, to infringe no third-party trademarks, and to represent Coda truthfully. The following are not permitted:

• Spam of any kind — email, forums, Discord DMs
• Paid search advertising on the term "Coda" or variations of it
• Cookie stuffing or any other artificial click generation
• Presenting Coda as a cheat, or as conferring an unfair advantage, or as circumventing a game's anti-cheat protection

Where these are breached we may cancel commission claims and terminate this agreement without notice.

This agreement runs indefinitely and either side may terminate it at any time, without giving reasons, on 14 days' notice in writing (email is sufficient). Commission earned and unpaid at termination is paid out with the next regular cycle, including where it sits below the minimum.

Coda is liable only for intent and gross negligence. For ordinary negligence liability is limited to the total commission paid to you in the preceding twelve months, so far as the law permits.

Coda processes the personal data necessary to run the affiliate program — your account details, payout details, and click and conversion data — in accordance with the GDPR. See the Privacy Policy for detail.

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Where legally permissible, the place of jurisdiction is Coda's registered seat. This English text is the operative version of these terms.

We may amend these terms on 30 days' notice. You will be told by email; if you do not object within that period, the amended terms are taken as accepted.
